“Directors occupy an important and fiduciary position under the framework of Companies Act, 2013. They are at the forefront under the Management aspects of the Corporates. Via multiple recent amendments, multiple contraventions have been decriminalized by the Ministry of Corporate Affairs (MCA) and instead of Fines, now Penalties are levied on Companies and Officers in Default. Directors are Officers in Default, unless the Company has designated such Officer or has a Key Managerial Personnel.
Therefore, the Study Circle Meeting is proposed to be convened via Virtual Mode to understand the Director’s Liabilities and Responsibilities under the Companies Act, 2013, the details of which are as under:”
